1. INTRODUCTION AND ACCEPTANCE

1.1 Agreement Parties

These Terms and Conditions ("Terms") form a legally binding agreement between you ("User") and Listingo Sdn. Bhd. (Company No: 1363643-K), including its subsidiaries and affiliated entities in Malaysia ("Listingo", "we", "us", or "our"). Collectively, both you and Listingo are referred to as the "Parties", and individually as a "Party".

1.2 Effective Period

These Terms take effect on the date you first access or use our website, mobile applications, or services (collectively, "the Platform"), and will remain in effect until terminated in accordance with the provisions stated herein.

1.3 Acceptance of Terms

Please read these Terms carefully before using our Platform. These Terms explain how you may use our services and related digital platforms. By accessing or using our services, or by clicking "accept" (or any similar action), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

1.4 Amendments to Terms

We may revise these Terms at any time, at our sole discretion. Any changes will take effect from the effective date specified in the updated version. We will display the most recent version of the Terms, along with a "last updated" date, on our Platform.

It is your responsibility to check these Terms periodically. Continued use of our Platform after any changes means that you accept the revised Terms.

1.5 Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Malaysia, and any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

1.6 Language

If these Terms are translated into another language, the English version will take precedence if there is any conflict or inconsistency.

2. DEFINITIONS

For the purpose of these Terms and Conditions, the following terms shall have the meanings assigned below:

"Affiliate"
Any individual or legal entity that directly or indirectly controls, is controlled by, or is under common control with a Party.
"Applicable Laws and Regulations"
All relevant laws, rules, regulations, and guidelines that apply in Malaysia and internationally, including but not limited to the Personal Data Protection Act 2010 (PDPA) of Malaysia, the Communications and Multimedia Act 1998, the Consumer Protection Act 1999, and the Housing Development (Control and Licensing) Act 1966.
"Authorized Users"
Any individual who has been granted permission by the User to access or use our Platform on the User's behalf.
"Content"
All text, graphics, images, music, software, audio, video, information or other materials that appear on or are available through our Platform.
"Householder"
Property owners, landlords, property managers, or their authorized representatives who list properties on our Platform.
"Intellectual Property Rights"
All copyright, patents, utility models, trademarks, service marks, registered designs, moral rights, design rights, database rights, know-how, confidential information, trade secrets, and any other intellectual property rights, in each case whether registered or unregistered.
"Listing"
A property advertisement posted by a Householder on our Platform.
"Order Information"
Details automatically generated from your transactions with us. This may cover your order history, order ID, account ID, type of subscription, subscription status, and other related data.
"Our Assets"
All digital and online properties owned or managed by us, including our website, mobile application, services, and any future platforms used to provide our content or services.
"Personal Data"
Has the same meaning as defined in the Personal Data Protection Act 2010 of Malaysia.
"Platform"
Our website, mobile applications, and any other online interfaces through which we provide our services.
"Services"
All services provided by Listingo, including but not limited to property listing, search functionalities, user account management, communication tools, and any additional features made available through our Platform.
"Tenant"
A User who is looking for property to rent or lease through our Platform.
"User"
An individual (a natural person) who has registered an account on our Platform, or who uses our services via an account created for them. Corporate entities or employees of such entities are not considered Users under this definition.
"User Account"
The registered account created by an individual to access our services. This includes both Tenant accounts and Householder accounts.
"User Content"
All information, data, or materials submitted by or on behalf of the User during the regular use of our Platform.

3. GENERAL USE

3.1 Platform Information

While we strive to provide accurate and up-to-date information, we make no guarantees regarding the reliability, completeness, or availability of any content on the Platform. All information is provided "as is," and we are not liable for any loss or damage—direct or indirect—those results from the use of or reliance on our content, including third-party contributions.

3.2 Linking Policy

We do not guarantee that any links, subdomains, or URLs on our Platform will always be active or functional. These may change or be removed without notice.

You must get our written permission before linking to our Platform. Specifically, you must not:

  • Link from websites that compete with us or aggregate property listings
  • Use our content in a way that suggests endorsement, ownership, or affiliation by anyone other than the Company

We reserve the right to ask for the removal of any unauthorized link at our sole discretion.

3.3 Platform Providers

3.3.1 iOS (Apple)

If you download our app via Apple's App Store, you agree that these Terms include a license agreement between you and the Company—not Apple Inc. You must follow Apple's App Store Terms and Usage Rules.

3.3.2 Android (Google)

Our Android app may use open-source components under the Apache License 2.0. You agree to comply with that license, acknowledging the software is provided "as is" without warranties unless otherwise required by Malaysian law.

4. OUR SERVICES

4.1 Platform Description

Listingo is a platform designed to connect Householders and property managers with potential Tenants. It allows property owners or authorized representatives to advertise their units, and enables Tenants to browse and engage with available listings.

4.2 Scope of Services

Our role is limited to providing a platform and certain supporting services. We do not own, manage, or control the listed properties. We are only responsible for offering information and limited housing-related assistance. After moving in, Tenants must directly communicate with the respective Householders for any issues related to the property.

4.3 No Agency Relationship

Unless specifically stated in writing, Listingo does not act as an agent for either the Householder or the Tenant. We do not represent either party in negotiations or legal matters, except when explicitly authorized in writing.

4.4 Service Availability

We strive to maintain our services continuously, but we do not guarantee uninterrupted access to our Platform. We reserve the right to suspend, restrict, or terminate access to our services for maintenance, updates, or other operational reasons without prior notice.

4.5 Service Modifications

We may modify, update, or discontinue any aspect of our services at our sole discretion. We will make reasonable efforts to notify Users of significant changes, but are not obligated to provide notice for minor updates or modifications.

5. USER ACCOUNTS

5.1 Account Registration

To access certain features of our Platform, you must register for a User Account. When registering, you must provide accurate, current, and complete information as requested in the registration form. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2 Account Types

Our Platform offers different account types for different users:

  • Tenant Account: For individuals seeking to rent properties
  • Householder Account: For property owners, managers, or authorized representatives who wish to list properties

5.3 Account Eligibility

To register for an account, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using our services under applicable laws

5.4 Account Security

You agree to:

  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or use of your account
  • Take responsibility for all activities that occur under your account
  • Log out at the end of each session when using shared devices

5.5 Account Termination

We reserve the right to suspend, disable, or delete your account if:

  • You violate these Terms
  • You provide inaccurate, fraudulent, or incomplete information
  • Your account shows signs of unauthorized use
  • You engage in harmful, abusive, or illegal activities
  • You remain inactive for an extended period

6. DATA SHARING AND PRIVACY

6.1 Data Sharing

By using our Platform, you allow us to share your data (such as listings and profile info) with our group companies, agents, and other users to enhance your experience.

We are not liable for how shared data is used unless we violate the Personal Data Protection Act 2010 (PDPA). If you have concerns, contact us via our support channels.

6.2 Personal Data Collection

We collect and process your Personal Data in accordance with our Privacy Policy and the Personal Data Protection Act 2010 of Malaysia. By using our services, you consent to our collection and processing of your Personal Data as described in our Privacy Policy.

6.3 Data Processing Principles

In handling your Personal Data, we adhere to the following principles:

  • Personal Data is collected for specified, explicit, and legitimate purposes
  • Processing is limited to what is necessary for these purposes
  • Personal Data is kept accurate and up-to-date
  • Personal Data is not kept longer than necessary
  • Appropriate security measures are implemented to protect Personal Data

6.4 User Rights

Under the Personal Data Protection Act 2010, you have the right to:

  • Access your Personal Data that we hold
  • Correct any inaccurate Personal Data
  • Withdraw consent for the processing of your Personal Data
  • Request the deletion of your Personal Data, subject to legal requirements
  • Limit the processing of your Personal Data in certain circumstances

6.5 Data Security

We implement appropriate technical and organizational measures to protect your Personal Data against unauthorized or unlawful processing, accidental loss, destruction, or damage. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

6.6 Cookies and Tracking

6.7 Third-Party Access to Data

We may share your Personal Data with:

  • Service providers who assist us in operating our Platform

  • Law enforcement or other government authorities when required by law
  • Other third parties with your explicit consent

7. PROPERTY LISTINGS AND TRANSACTIONS

7.1 Listing Properties

Householders may create listings for their properties on our Platform. By creating a listing, the Householder represents and warrants that:

  • They have the legal right to list the property
  • The information provided is accurate, complete, and not misleading
  • They have all necessary permissions and authorizations to rent the property
  • The property complies with all applicable laws and regulations

7.2 Advertising and Promotion

By listing properties on the Platform, agents and owners agree that we may promote their listings via social media, search engines, emails, or any marketing channels we choose to help boost visibility.

7.3 Apartment Selection

Listingo may assist users in negotiating with Householders on matters such as room orientation, floor level, roommate arrangements, and move-in timing. However, these aspects are entirely dependent on the Householder's discretion and availability. Listingo does not guarantee the outcome of such negotiations. The final terms will be subject to the agreement between the User and the Householder, or any formal notice issued by the provider.

7.4 Property Information

While we make reasonable efforts to ensure that property listings are accurate, we do not verify or guarantee the accuracy, completeness, or reliability of any information provided by Householders. Users should independently verify all property information before making rental decisions.

7.5 Rental Agreements

Any rental agreement is made directly between the Tenant and the Householder. Listingo is not a party to these agreements. Users understand and agree that:

  • Listingo is not responsible for enforcing rental agreements
  • Listingo does not guarantee the performance of either party to a rental agreement
  • Any dispute arising from a rental agreement must be resolved directly between the Tenant and Householder

7.6 Payments and Fees

  • Payments for rent, deposits, or other fees are typically made directly between Tenants and Householders
  • Where Listingo facilitates payments, separate payment terms may apply
  • Listingo may charge service fees to Householders, Tenants, or both parties
  • All fees will be clearly disclosed before they are incurred

8. USER OBLIGATIONS

8.1 General Obligations

When using our services, you agree to:

  • Comply with all applicable laws and regulations
  • Respect the rights of other Users and third parties
  • Provide accurate information
  • Use our services only for lawful purposes
  • Not interfere with the proper operation of our Platform

8.2 Prohibited Activities

You agree not to:

  • Use our services for any illegal purpose
  • Post false, misleading, or fraudulent content
  • Harass, abuse, or harm other Users
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to our systems
  • Use automated scripts, bots, or crawlers without our permission
  • Interfere with the proper functioning of our Platform
  • Bypass measures designed to prevent or restrict access to our services
  • Collect or harvest data from our Platform without permission
  • Post discriminatory content or engage in discriminatory practices
  • Violate any applicable fair housing laws

8.3 Content Guidelines

All User Content must comply with the following guidelines:

  • It must be accurate and not misleading
  • It must not infringe any third party's rights
  • It must not be defamatory, obscene, or offensive
  • It must not contain malware or harmful code
  • It must comply with all applicable laws and regulations

9. USER CONTENT AND INTELLECTUAL PROPERTY

9.1 User Content License

By submitting User Content to our Platform, you grant Listingo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the operation of our Platform and Listingo's business.

9.2 Ownership of User Content

You retain all ownership rights in your User Content. However, you acknowledge that you are responsible for protecting your own intellectual property rights.

9.3 Content Monitoring

We reserve the right, but not the obligation, to monitor, edit, or remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice.

9.4 Intellectual Property Ownership

All Intellectual Property Rights in our Platform, including but not limited to software, designs, logos, text, graphics, and content created by us, belong to Listingo or our licensors. These Terms do not grant you any rights to use our Intellectual Property Rights without our prior written consent.

9.5 Copyright Infringement

If you believe that your copyrighted work has been used on our Platform in a way that constitutes copyright infringement, please contact our designated copyright agent with the following information:

  • A description of the copyrighted work you claim has been infringed
  • A description of where the allegedly infringing material is located on our Platform
  • Your contact information
  • A statement by you that you have a good faith belief that the disputed use is not authorized
  • A statement, made under penalty of perjury, that the information in your notice is accurate

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

10.1 Service Disclaimer

Our services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of our services or the information, content, or materials included on our Platform.

10.2 Property Disclaimer

We do not own, control, or manage any properties listed on our Platform. The quality, safety, legality, and availability of listed properties are the sole responsibility of the Householders. We do not verify the accuracy of property listings and are not responsible for any misrepresentations or inaccuracies.

10.3 User Interactions

We are not responsible for the conduct, whether online or offline, of any user of our Platform. You are solely responsible for your interactions with other users and should take reasonable precautions when communicating with or meeting other users.

10.4 Limitation of Liability

To the maximum extent permitted by applicable law, Listingo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our services
  • Any conduct or content of any third party on our Platform
  • Any content obtained from our Platform
  • Unauthorized access, use, or alteration of your transmissions or content

10.5 Limitation of Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or our services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred to the extent permitted by applicable law.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Listingo, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of our services
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations

12. DISPUTE RESOLUTION

12.1 Informal Dispute Resolution

Before filing a claim against Listingo, you agree to attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute informally by contacting you through email.

12.2 Formal Proceedings

If the dispute cannot be resolved informally within 30 days, either party may initiate formal proceedings. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Malaysia, and you consent to the personal jurisdiction and venue in such courts.

12.3 No Class Actions

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. TERMINATION

13.1 Termination by User

You may terminate these Terms at any time by closing your account and discontinuing the use of our services. If you terminate these Terms, you remain liable for any outstanding obligations related to your use of our services.

13.2 Termination by Listingo

We may terminate or suspend your account and access to our services at any time, for any reason, without prior notice or liability, including, but not limited to, if you breach these Terms.

13.3 Effect of Termination

Upon termination:

  • Your right to use our services will immediately cease
  • We may delete or deactivate your account and all related information and files
  • We may prohibit your access to our Platform
  • Any provisions of these Terms that by their nature should survive termination shall survive termination

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Listingo regarding your use of our services, superseding any prior agreements between you and Listingo.

14.2 Waiver

The failure of Listingo to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Listingo.

14.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions of these Terms will continue in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations under these Terms, without Listingo's prior written consent. Listingo may assign these Terms without restriction.

14.5 Force Majeure

Listingo shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Listingo's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

14.6 Relationship of Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Listingo.

14.7 Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.

14.8 Notices

Any notices or other communications permitted or required under these Terms will be in writing and given by Listingo via email, platform notification, or by posting to our website. You may contact us through our contact form or at the address provided in the "Contact Information" section.
